The case study focuses on a private equity firm's acquisition of a pharmaceutical contract development and manufacturing organization (CDMO) that employed several thousand individuals and operated two global manufacturing plants. The primary challenge was the need for a complex technology roadmap to ensure a successful transition during the carve-out acquisition.
To address these challenges, the we due diligence team, comprising industry experts from the Healthcare & Life Sciences practice and functional specialists in finance, HR, tech transaction advisory, cybersecurity, and quality and regulatory practices, developed a comprehensive technology roadmap. This roadmap included the selection of core systems, portfolio rationalization, and enhancements to cybersecurity capabilities. Additionally, they crafted the IT organization model and transition service agreement, while estimating both the run rate and one-time costs associated with the technology roadmap.
A critical aspect of the project's success hinged on achieving day 1 alignment among all stakeholders and systems, as well as providing support for the buyer's exit plans. The day 1 close was executed smoothly, characterized by effective communication and management of expectations between the buyer sponsors and the seller, with clear decision-making authority established between the buyers and the new leadership team of the company.
Post-acquisition, we was engaged to fill key roles across all business functions, particularly in IT, to facilitate the transition of enterprise resource planning infrastructure and operations management, as well as manage the transition service agreement. The team employed a "top-down" and "bottoms-up" approach to develop standalone and one-time cost estimates, collaborating directly with potential vendors and leveraging we' extensive experience to ensure the accuracy of these estimates. The outcome was a set of very precise standalone and one-time cost estimates, which were crucial for the successful integration of the acquired organization.
