A leading service provider in the logistics sector aimed to expand its regional footprint in North America due to increasing demand. The client was preparing for its largest acquisition to date, which involved an import-export solutions arm that included approximately 800 new employees, 12,000 intermodal containers, 5,200 chassis, 37 drayage terminals, and a 2,500-tractor drayage capacity. This acquisition, executed through a public company carve-out, was set to quadruple the size of the business.

we was engaged to manage the integration process and help the client meet its growth objectives. The initial phase involved a four-week diligence period to inform cost model estimates, followed by a focus on integration management. This included developing day-one workflows, assembling functional teams, and establishing an integration management office (IMO). The team also facilitated the functional separation and subsequent integration of the parent company’s IT, finance, HR, legal, and operations functions.

The integration setup was completed with a companywide project management office (PMO) workstream aimed at removing obstacles and achieving the client’s overall goals. Within two months, we successfully designed the future state organization structure and restructured the entire human resources function. The efforts resulted in over $30 million in annual run-rate synergies, paving the way for further business improvement actions with a target of $50 million in run-rate EBITDA improvements.
