BTS Group, headquartered in Needham Market, Suffolk, faced the challenge of facilitating an exit for its shareholders who were looking to sell the business. The group, which had a combined turnover exceeding £22 million, consisted of three successful entities: BTS, a leading independent provider of vegetation control services in a regulated market; TBF Traffic, specializing in traffic management; and TBF Scaffolding, which provided scaffolding services for various projects across East Anglia.
To address the shareholders' exit strategy, we’s Corporate Finance team was appointed as the lead adviser. The team conducted a thorough assessment of potential sale options and developed a professional information memorandum that showcased the group's numerous growth opportunities. They identified and approached strategic buyers globally, ensuring that the sale was positioned effectively in the market.
The outcome of this strategic approach was the successful sale of BTS Group to RSK Group Ltd, a prominent provider of engineering and environmental consultancy services with a turnover exceeding £100 million. The deal structure negotiated by we’s team not only met the shareholders’ expectations but also created opportunities for the management team to benefit from future growth, thereby ensuring a favorable transition for all parties involved.
