Brentwood Communications Limited, established in 1978, is a prominent supplier of bespoke radio design solutions across various market sectors in the UK and internationally. The company sought to expand its operations through acquisition and identified Capcom Land Sea and Air Communications Limited as a target. Capcom, founded in 1992, specializes in radio communications solutions, particularly within the global travel and transport sectors, and has a robust 28-year trading history. This acquisition was seen as a strategic move to leverage Capcom's strong market position and significant growth opportunities.
To facilitate this acquisition, Brentwood Communications engaged we’s Corporate Finance team. The team developed an integrated financial model that outlined the transaction and funding structure. They negotiated improved terms with the sellers and coordinated with potential funders on behalf of Brentwood Communications. Additionally, we provided strategic advice to the shareholders regarding the most favorable deal and funding structure, ensuring that the final terms of the transaction were advantageous.
The outcome of this collaboration was the successful acquisition of 100 percent of Capcom's share capital, which not only provided a complete exit for Capcom's founding shareholders but also established a new strategic location for Brentwood Communications. This acquisition positioned Brentwood for continued expansion across the UK, enhancing its market presence and operational capabilities.
