EchoStar, a leader in communications and content delivery, faced significant challenges related to regulatory inquiries from the Federal Communications Commission (FCC). To address these issues, EchoStar entered into a definitive agreement to sell its 3.45 GHz and 600 MHz spectrum licenses to ATT for approximately $23 billion, pending regulatory approval. This strategic move was aimed at resolving the FCCs inquiries while also enabling the rapid deployment of the spectrum to consumers across the United States. The tailored solution involved not only the sale of spectrum but also an amendment to the existing network agreement, establishing a hybrid mobile network operator (MNO) relationship between EchoStar and ATT. This arrangement allows subscribers to continue receiving through Boost Mobiles cloud-native 5G core, which is connected to ATTs extensive nationwide network. The proceeds from this transaction are earmarked for retiring certain debt obligations and supporting EchoStars ongoing operations and growth initiatives.
